    Job Duties:

    The Associate Directors, Corporate Counsel, Contracts, will be responsible for the following:

    • Provide legal support on various types of transactions, including joint ventures, credit facilities, corporate financing, corporate restructurings, and mergers and acquisitions, including due diligence, negotiation of terms, drafting of documentation, and regulatory filings;

    • Prepare and review inter-company agreements and support other general corporate matters such as press release, website and communications review, contract review, company policy review and preparation of board/committee materials;

    • Coordinate filings with the SEC and NASDAQ, HKEx, and SSE;

    • Coordinate, document and maintain records for all due diligence requests and the Company's electronic data rooms;

    • Support the development of the Company's equity plans, programs and grant agreements, including securities law compliance and disclosure;

    • Engage and manage the work of the outside counsel and vendors;

    • Manage all legal aspects of investments in private companies, including due diligence, drafting transaction documents, coordinating with internal stakeholders and negotiating directly with key executives and investors with a focus on understanding the needs of the business team and achieving results;

    • Support of the Company's environmental, social and governance ("ESG") policy and related ESG efforts;

    • Draft and review securities filings with the SEC, including current and periodic reports, proxy statements, and other regulatory filings, as well as staying up to date on new rules and trends in the market;

    • Review and advise on corporate, investor and scientific presentations, and communications with internal and external stakeholders;

    • Assist with the development and upkeep of corporate governance policies and related forms; and

    • Develop a solid network of relationships inside and outside of the organization to support the objectives of the Legal and Compliance team and the business as a whole.

    Requirements:

    Employer requires a J.D. degree received from an institution of higher learning in the United States and two (2) years of work experience as a lawyer handling corporate and transactional matters at an external law firm. In addition, the employer requires the following:

    • Demonstrated ability handling corporate and transactional matters as a member of the in-house counsel team gained through three (3) years of work experience;

    • Demonstrated ability handling cross-border transactions as the primary person negotiating such deals gained through three (3) years of work experience;

    • Demonstrated ability assisting in all legal aspects of small investments in private companies, including due diligence, drafting transaction documents, and coordinating with internal stakeholders gained through three (3) years of work experience;

    • Demonstrated ability assisting and coordinating filings with the U.S. Securities and Exchange Commission ("SEC") and NASDAQ, The Stock Exchange of Hong Kong Limited ("HKEx"), and the STAR Market of the Shanghai Stock Exchange ("SSE") gained through three (3) years of work experience; and

    • Must be licensed to practice law in any U.S. state.

    All years of experience may be gained concurrently.

    In the alternative, the employer will accept a Master of Law (LL.M.) degree received from an institution of higher learning in the United States, in combination with a Bachelor of Law (LL.B.) degree (foreign LL.B. degree is acceptable), in lieu of a J.D. degree. In addition, the employer requires two (2) years of work experience as a lawyer handling corporate and transactional matters at an external law firm. In addition, the employer requires the following:

    • Demonstrated ability handling corporate and transactional matters as a member of the in-house counsel team gained through three (3) years of work experience;

    • Demonstrated ability handling cross-border transactions as the primary person negotiating such deals gained through three (3) years of work experience;

    The selected candidate will earn an annual salary of $208,998 - $225,000 per year.
